Contracting Parties and Acceptance

This Service Agreement is entered into between the CLIENT (an individual or legal entity contracting the services) and the PROVIDER (Grupo Platinium, C.A., RIF J-29723146-3, domiciled in San Cristóbal, Táchira State, Venezuela; and/or Grupo Platinium LLC, EIN 33-1503223, domiciled at 1719 Park Side Ave, Kindred FL 34744, USA).

By activating, renewing, or using any PlatiniumHost service, the client acknowledges having read, understood, and accepted in their entirety these Terms of Service, the Privacy Policy, and the Service Level Agreement (SLA), all of which form an integral part of the contract.

To engage services, clients must be at least 18 years of age and possess the legal capacity to enter into contracts within their jurisdiction. Clients acting on behalf of a company warrant that they are duly authorized to bind said company.

2. Description of Services

PlatiniumHost offers the following digital services: NVMe Cloud Hosting (storage on shared servers utilizing NVMe SSD technology and cPanel control panel); Geolocated VPS (Virtual Private Servers with native IP addresses in multiple countries, including Venezuela); Dedicated Servers (exclusive bare-metal hardware located in Miami, FL datacenters); Reseller Hosting (WHM+WHMCS infrastructure for hosting resellers); Domain Registration and Management; Radio Streaming Hosting (WHMSONIC/AutoDJ); SSL Certificates; Cloud Backup Services.

The technical specifications, prices, and features of each plan are detailed on platiniumhost.com and on the client portal my.platiniumhost.com. PlatiniumHost reserves the right to modify the technical specifications of the services, provided that such modifications do not entail a significant reduction in the agreed level of service.

3. Pricing, Billing, and Payment Methods

All prices are quoted in United States Dollars (USD) unless otherwise specified. For clients in Venezuela opting to pay in Bolivars (VES), the Official Exchange Rate of the Central Bank of Venezuela (BCV) prevailing on the date of payment will be applied.

Accepted Payment Methods: Zelle (USA); Zinli (Venezuela/LATAM); Binance Pay / USDT (cryptocurrencies); PayPal; Visa and Mastercard credit/debit cards (issued outside Venezuela); Bizum (Spain). For manual payments (Zelle, Binance, Zinli), proof of payment must be submitted to the support team for immediate service activation.

Services are billed on a monthly or annual basis depending on the contracted plan. PlatiniumHost will send expiration reminders 15, 7, and 3 days prior to the renewal date. Services not renewed by the due date will be automatically suspended. Data for suspended services will be retained for a grace period of 15 calendar days before permanent deletion.

4. Refund Policy

PlatiniumHost offers a 7-day satisfaction guarantee for new Cloud Hosting plans (initial subscriptions). Should the customer be dissatisfied with the service within the first 7 calendar days from activation, they may request a full refund of the amount paid by submitting a ticket to my.platiniumhost.com/submitticket.

Excluded from the refund policy are: domain registrations (non-refundable once processed, as they are third-party services); SSL certificates once issued; VPS and Dedicated Server services (a proportional credit for the unused period may be issued at PlatiniumHost's discretion); renewals of existing services; and services canceled due to violation of the Terms of Service.

Refund requests must be submitted exclusively via a support ticket. PlatiniumHost will process approved refunds within a maximum of 10 business days.

5. Acceptable Use of the Services (AUP)

The client agrees to use PlatiniumHost's services exclusively for legal activities and in compliance with applicable Venezuelan, U.S., and international laws. The following are strictly PROHIBITED: hosting, distributing, or transmitting Child Sexual Abuse Material (CSAM); conducting DDoS attacks, hacking, phishing, mass spamming, or any malicious activity against third parties; hosting content that infringes intellectual property rights (copyright, trademarks); operating botnets, malware command & control servers, or hacking tools; sending unsolicited emails (spam) in violation of the CAN-SPAM Act and equivalent laws; mining cryptocurrencies using server resources without express authorization from PlatiniumHost; and hosting content that incites hatred, violence, or discrimination.

Excessive resource usage that degrades the performance of other clients on shared servers may result in the temporary limitation or suspension of service without prior notice. PlatiniumHost reserves the right to audit resource usage at any time.

6. Suspension and Cancellation of Services

PlatiniumHost reserves the right to immediately suspend services without prior notice in the following cases: serious breach of the Terms of Service or Acceptable Use Policy; receipt of verified abuse reports (spam, DDoS, CSAM, phishing); imminent risk to network security or other clients; order or requirement from competent authorities.

Cancellation due to non-payment will adhere to the following process: Day 1 post-due date: Service will be suspended, and panel access restricted. Day 8 post-due date: A notification of imminent cancellation will be issued. Day 15 post-due date: All service data will be permanently deleted and will not be recoverable.

Customers may voluntarily cancel their services at any time via the my.platiniumhost.com portal. Voluntary cancellation does not entitle the customer to a refund, except as provided in the Refund Policy.

7. Intellectual Property

PlatiniumHost and its brands, logos, proprietary software, designs, texts, and content of the website platiniumhost.com are the exclusive property of Grupo Platinium, C.A. and Grupo Platinium LLC, protected by intellectual property laws of Venezuela, the United States, and applicable international treaties.

The client retains full ownership of all data, content, and software hosted on PlatiniumHost's services. PlatiniumHost claims no proprietary rights over client content and will only access such content when necessary to provide technical support requested by the client or when legally required.

The client warrants that the content hosted on PlatiniumHost's services does not infringe third-party intellectual property rights and agrees to indemnify PlatiniumHost for any third-party claims arising from such content.

8. Limitation of Liability

PlatiniumHost's total liability to the client for any cause whatsoever, including SLA breaches, negligence, or any other legal basis, shall be limited to the total amount paid by the client in the 3 months preceding the incident giving rise to the claim.

PlatiniumHost shall not be liable for: loss of client data caused by the client's own actions; loss of profits, revenue, or business; indirect, consequential, or punitive damages; interruptions caused by force majeure or acts of God; failures of third-party providers beyond PlatiniumHost's reasonable control.

This limitation of liability is applicable to the fullest extent permitted by Venezuelan law and the law of the State of Florida, USA.

9. Governing Law and Jurisdiction

For clients domiciled in Venezuela: these Terms are governed by the laws of the Bolivarian Republic of Venezuela. Any dispute that cannot be resolved amicably shall be submitted to the Competent Courts of the city of San Cristóbal, Táchira State, Venezuela, the parties waiving any other jurisdiction.

For clients domiciled in the United States or other countries: these Terms are governed by the laws of the State of Florida, USA. Disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in Orlando, Florida, or to the federal courts of the Middle District of Florida, as applicable.

For California Residents: These Terms do not limit the rights granted to its residents by California law, including rights under the CCPA/CPRA.

10. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and the SLA, constitute the entire agreement between the parties and supersede any prior communications or agreements relating to the same subject matter.

Amendments: PlatiniumHost may amend these Terms by providing the client with 30 days' prior notice via email. Continued use of the services following such notification constitutes acceptance of the amended Terms.

Divisibility: If any clause of these Terms is declared invalid or unenforceable, the remainder of the contract shall remain in full force and effect.
